CONTEST Eligibility: The SteelSeries Sonar Creator Challenge Contest(the “Contest”) is open to legal residents of the United States, Canada (excluding Quebec), Austria, Belgium, Bulgaria, Croatia, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Switzerland, United Kingdom, Australia, and New Zealand, who are at least the age of majority in their respective jurisdictions as of the date of entry. Employees, officers, and directors of GN Hearing Care Corporation (“Sponsor”), its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and individuals living in the same household, whether or not related, are not eligible to enter or win. How to Enter: During the Contests Period, There are two Methods to enter: Method 1 — Social Post (No License to Use Content). During the Contests Period, post your original video on TikTok, Instagram, or YouTube, @SteelSeries and include the hashtag #SonarAINoiseCancelling. Entries must comply with the platform’s terms and community guidelines. Sponsor will select three (3) winning social posts based on creativity as described under “Winner Selection.” For the Social Post method, Sponsor will not use your content for advertising or commercial purposes unless you separately grant a license (see below). Social posts must remain publicly viewable through winner verification. You may participate in Method 1 and Method 2 (below) at the same time. Method 2 — Landing Page Upload (Includes Content License). During the Promotion Period, upload your original source video file via the Promotion landing page form at [https://steelseries.com/creatorchallenge]. Complete the form with your full name, valid email, and required declarations. By submitting via the landing page, you may choose to grant Sponsor a limited, non-exclusive license to use your content for promotion of this Contest. Granting this license is not required for eligibility. (details in “General Conditions – Content License for Landing-Page Submissions”). Sponsor will select five (5) winners from eligible landing-page submissions based on the judging criteria under “Winner Selection.” Entry Limits. Social Post entries: no set limit, but each post must be materially different (no spam/duplicates). Landing-page submissions: multiple videos are permitted (each must be distinct and comply with these rules). If the same video is submitted both via social and via the landing page, the entry will be judged under the landing-page method and any award will follow the landing-page (higher-tier) prize path. Winner Selection and Notification: Winner Selection: This is a skill-based contest. Eligible entries will be judged by a panel. Eligible entries will be judged by a panel selected by Sponsor using the following weighted criteria: Creativity/Originality (40%), Audio/Visual Quality (40%), Relevance to Sonar AI Noise Cancelling theme (20%). The top three (3) Social Post entries and top five (5) Landing-Page entries, as scored by the panel in its sole discretion, will be deemed the winners Notification/Response. Potential winners will be notified via the email provided (Landing-Page) or via direct message/comment on the relevant platform (Social Post), then asked to complete a Prize Claim Form within five (5) business days. Failure to respond, ineligibility, or non-completion may result in disqualification and selection of up to three (3) alternates per prize. Winners will be announced within twenty (20) days after the Promotion ends. Prizes ship within 4–6 weeks after winner confirmation. Same-Video Rule. If an identical video is entered via both methods, the entry will be evaluated under the Landing-Page method and any award will be from the Landing-Page prize pool. General Conditions: Publicity (Winners Only). Where permitted by law, winners consent to Sponsor’s use of their name, prize information, and city/country for winner announcements and publicity without additional compensation. This publicity consent does not grant Sponsor any right to use any winner’s video/content unless the winner separately granted a content license via the Landing-Page submission. Content License for Landing-Page Submissions (Only). For entries submitted via the Promotion landing page, and only if the entrant affirmatively agrees in the submission form, entrant grants Sponsor a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display the submitted content, in any media now known or later developed, for advertising, trade, promotional, and publicity purposes related to the Promotion and Sponsor’s products/services, without any limitation of time. Entrant represents and warrants that they own or control all rights in the content (including any music and third-party materials) and that all identifiable persons have given consent; minors require parent/guardian consent.and without notice, review, or approval and each entrant releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates any Contests Entity to make use of any of the rights granted herein and the winner waives any right to inspect or approve any such use. No License for Social Posts by Default. Posting on TikTok/Instagram/YouTube and tagging Sponsor or using the Promotion hashtag does not grant Sponsor any license to use the content beyond platform-native interactions (e.g., likes/comments). If Sponsor wishes to use a social post off-platform, Sponsor will obtain a separate written or click-through license from the creator. Platform Disclaimers. This Contests is in no way sponsored, endorsed, administered by, or associated with TikTok, Instagram, or YouTube. Taxes, Duties, and Shipping. Winners are responsible for any applicable taxes, customs duties, and import fees. Sponsor may require completion of tax forms prior to prize issuance; international shipping restrictions may apply. Sponsor’s decisions will be final in all matters relating to this Contests, including interpretation of these Official Rules, acceptance or rejection of purported entries, determination of the winners, and awarding of the prizes. All participants, as a condition of entry, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification from this Contests. Participants further agree not to damage or cause interruption of the Contests Site and/or prevent others from using the Contests. Sponsor reserves the right to restrict or void entries or participation from any IP address or other identifiable source if any suspicious entry and/or participation is detected and to disqualify any entrant such suspicious participation benefitted. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Contests-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency within these Official Rules), it will be resolved by Sponsor in its sole discretion. Entrants waive any right to claim ambiguity in the Contests or these Official Rules. If Sponsor determines, at any time and in its sole discretion, that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to disqualify that winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If the Contests is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contests and award the prizes from eligible entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by automated or other fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, the Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. In the event of a dispute concerning the identity of an entrant, the entrant will be declared to be the primary registered account holder of the email address provided at the time of entry, but only if that person meets all other eligibility criteria, otherwise the entry may be disqualified and any potential prize won forfeited, in Sponsor’s sole discretion. A registered account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the applicable domain Winner may be required to show proof of being the registered account holder. If a dispute cannot be resolved to the Sponsor’s satisfaction, in its sole discretion, the entry will be deemed ineligible. Caution: Any attempt to damage any online service or website or to undermine the legitimate operation of the Contests may violate criminal and civil laws. If such an attempt is made, the Sponsor may disqualify any participant making such an attempt and may seek damages to the fullest extent permitted by law. ARBITRATION AGREEMENT/GOVERNING LAW/CLASS-ACTION WAIVER/DISPUTE RESOLUTION Both you and the Contests Entities waive the right to a trial by jury and the right to bring or resolve any dispute related to this Contests or these Official Rules as a class, consolidated, representative, collective, or private attorney-general action. Both you and the Contests Entities waive the right to participate in a class, consolidated, representative, collective, or private attorney-general action related any dispute that is brought by anyone else. Notwithstanding any provision in the ICC (defined below) rules to the contrary, the arbitrator shall not have the authority or any jurisdiction to hear the arbitration as a class, consolidated, representative, collective, or private attorney general action or to consolidate, join, or otherwise combine the claims of different persons into one proceeding. You agree that these Official Rules and your participation in the Contests is governed by the laws of Denmark without regard to its conflict of law principles. You and the Contests Entities each agree to finally settle all disputes only through arbitration; provided, however, the Contests Entities shall be entitled to seek injunctive or equitable relief in any court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator's decision and award are final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as expressly set forth elsewhere in this section, any claim, suit, action or proceeding arising out of or relating to these Official Rules will be resolved solely by binding arbitration before a sole arbitrator under the Rules of Arbitration (including the Expedited Procedure Provisions where permitted) of the International Chamber of Commerce (ICC) or any successor to the ICC. In the event the ICC is unwilling or unable to commence arbitration procedures within thirty (30) days of the filing of a request for arbitration and submission of any required fees, then either party can elect to have the arbitration administered by another mutually agreeable arbitration administration service that will hear the case. Arbitration will be conducted in English unless the parties mutually agree upon another language. If an in-person hearing is required, then it will take place in Copenhagen, Denmark, another location mutually agreed upon by the parties, or – where required by the ICC rules – near entrant’s place of residence. The governing law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions or class arbitrations; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate does not apply and the dispute must be brought in a court of competent jurisdiction in Copenhagen, Denmark. Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding your attorney’s fees or any travel or other costs incurred by you to attend the arbitration hearing). In no event will you seek or be entitled to rescission, injunctive or other equitable relief or to enjoin or restrain the operation or exploitation of any Sponsor Contests or other property, provided that nothing in these Official Rules will restrict a participant’s right under applicable law, if any, to pursue public injunctive relief otherwise in accordance with this dispute-resolution provision. Except where prohibited by law, disputes will be resolved by binding arbitration as described herein. In jurisdictions where arbitration clauses are unenforceable, disputes may be brought in the courts of the entrant’s country of residence.
